These Terms of Use (“Terms”) are a legally binding agreement between you (“you” or “your”) and Anexus Technologies (“Anexus,” “we,” “us,” or “our”) governing access to and use of:
- Our public website at https://www.anexusconnect.com (the “Website”),
- Interactive features made available on the Website (such as forms and AI-assisted chat), and
- Any related APIs or web properties we expressly link to these Terms (together with the Website, the “Services” for purposes of this document).
Important: If you purchase professional IT, software, cybersecurity, backup, disaster-recovery, or managed services from us, the commercial relationship is also governed by separate agreements (for example, a master services agreement, statement of work, order form, or proposal). If those agreements conflict with these Terms on a specific point, the written service agreement controls for that engagement.
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility
You may use the Services only if you can form a binding contract in your jurisdiction and are not barred from doing so under applicable law.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Nature of the Website
The Website provides general information about Anexus Technologies and our capabilities, including IT support, software and web development, backup and recovery, disaster recovery, cybersecurity, and workstation and server management.
Content on the Website is for informational purposes. It does not constitute an offer to sell a specific product bundle or a guarantee of results, availability, pricing, or timelines. Formal commitments require a signed or mutually accepted service agreement.
3. Accounts and Credentials
Most visitors can use the Website without an account. If we offer logins, client portals, or other authenticated experiences, we will provide separate instructions. You are responsible for safeguarding credentials and for activity under your account unless we are notified of unauthorized access in line with any instructions we provide.
4. Inquiries, Forms, and Communications
When you submit forms, email us, or request consultations, you agree that information you provide is accurate to the best of your knowledge. You agree we may use your contact details to respond and, where permitted, to follow up about services that may be relevant to your inquiry.
Unsolicited ideas, inventions, or materials you send may be used without restriction or compensation to you, except where pre-agreed in writing.
5. Payments
If you enter into a commercial engagement with us, invoices or payments may be processed through third-party providers (for example, Stripe). Card and payment data are subject to those providers’ terms and security practices. For Website-only visitors who do not purchase services, these Terms still apply to use of the Website.
6. Intellectual Property
The Website, its design, text, graphics, logos, and underlying software are owned by Anexus or our licensors and are protected by intellectual property laws. You receive a limited, revocable license to access and use the Website for lawful business or personal purposes related to learning about our services.
You may not copy, scrape, mirror, or redistribute substantial portions of the Website for commercial competitive purposes; circumvent technical controls; or use automated means in a way that burdens our systems without permission.
7. Acceptable Use
You agree not to:
- Use the Services for unlawful, fraudulent, or harmful activity
- Attempt to gain unauthorized access to our systems, other users, or client environments
- Interfere with security or integrity of the Services
- Use the Services to distribute malware, spam, or harassment
- Misrepresent your identity or affiliation
- Use AI or automation on the Website in violation of our technical policies or applicable law
We may suspend or block access for violations or for operational or security reasons.
8. Third-Party Links and Tools
The Website may link to third-party sites or embed third-party tools. We do not control those services. Your use is subject to their terms and privacy policies.
9. AI Features on the Website
If you use an AI assistant on the Website, you acknowledge that outputs may be incorrect, incomplete, or outdated. AI features are provided “as is,” are not professional advice, and are not a substitute for a scoped engagement with our team. Do not rely on AI responses for legal, security, compliance, or critical business decisions without independent verification.
10. Disclaimer of Warranties
To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and any warranties arising from course of dealing or usage.
We do not warrant uninterrupted or error-free operation of the Website.
11. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from your use of the Website or these Terms
- Our aggregate liability arising from your use of the Website (excluding liability that cannot be limited under applicable law or liability under a separate written service agreement for paid professional services) shall not exceed the greater of (a) one hundred Canadian dollars (CAD $100) or (b) the amounts you paid to us specifically for Website-only paid features, if any, in the twelve (12) months before the claim
If you are a client with a signed agreement, limitations and remedies for professional services are governed primarily by that agreement.
12. Indemnity
You agree to defend and indemnify Anexus and our officers, directors, employees, and agents against third-party claims, damages, and costs (including reasonable attorneys’ fees) arising out of your misuse of the Services, your violation of these Terms, or your violation of applicable law—except to the extent caused by our willful misconduct.
13. Privacy
Our Privacy Policy describes how we collect and use personal information in connection with the Website and related interactions.
14. Changes
We may modify these Terms by posting an updated version and revising the Effective Date. Your continued use after changes become effective constitutes acceptance unless otherwise required by law. For material changes, we may provide additional notice where appropriate.
15. Governing Law and Venue
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules, subject to mandatory consumer protections in your place of residence where they cannot be waived.
Subject to non-waivable rights to sue in other courts, you agree that the courts located in Ontario shall have exclusive jurisdiction over disputes arising from these Terms and use of the Website, except we may seek injunctive relief in any competent jurisdiction.
16. General
If any provision is unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver. These Terms are the entire agreement between you and Anexus regarding the subject matter here (for Website use), superseding prior oral or written understandings on that subject.
